1. General provisions
These Terms and Conditions of Sale ("Terms") govern sales of adhesives, coatings, and related products ("Products") by Senda Glue Inc. ("Seller") to purchasers ("Buyer"). By placing an order, Buyer agrees to these Terms. These Terms prevail over conflicting terms in Buyer's purchase orders unless Seller agrees otherwise in writing.
2. Product specifications & suitability
Seller warrants that Products conform to Seller's published Technical Data Sheets (TDS) at the time of shipment.
Fit for purpose: Adhesion depends on substrate, coat weight, line speed, and environment. Buyer must validate suitability on its equipment before production use. Except as stated in the applicable TDS, Seller disclaims implied warranties of fitness for a particular purpose.
3. Orders & pricing
- Quotations: Prices are valid for thirty (30) days unless stated otherwise in writing, subject to raw-material adjustments.
- Acceptance: Orders are subject to Seller's written order confirmation.
- MOQ & samples: Minimum order quantities and complimentary lab-sample programs are defined in the quotation or on sendaglue.com—not every inquiry qualifies for free material.
4. Shipping & delivery
Unless agreed in writing, deliveries follow Incoterms® 2020 as stated on the order confirmation.
- Delivery dates: Dates are estimates. Seller is not liable for delays due to force majeure, carriers, or supply constraints.
- Risk of loss: Risk passes per the agreed Incoterm (e.g., FOB/FCA at dispatch, CIF/DAP at destination as applicable).
5. Payment terms
Unless credit is approved in writing, payment is by T/T or irrevocable L/C at sight. Late amounts may accrue interest at 1.5% per month or the maximum rate permitted by law.
6. Inspection & returns
Buyer must inspect Products on receipt. Claims for shortage, damage, or non-conformity must be in writing within ten (10) days of receipt or be deemed waived.
Returns require Seller's prior written RMA. Products must be unopened and stored per TDS unless otherwise agreed.
7. Limitation of liability
SELLER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DOWNTIME, OR LOSS OF GOODWILL, ARISING FROM THE PRODUCTS OR THESE TERMS.
SELLER'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE PRICE PAID BY BUYER FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.
8. Governing law & disputes
These Terms are governed by the laws of the People's Republic of China. Disputes shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for arbitration.
